Welcome to Nextgen Setu Communication Private Limited ('Company', 'SetuNxt', 'we', 'our', or 'us'). These Terms & Conditions govern your access to and use of our website, applications, APIs, communication platform, and services. By using our services, you agree to these Terms.

2. About Our Services

SetuNxt provides RCS Business Messaging, WhatsApp Business Messaging, SMS Services, Email Marketing, Omnichannel Messaging, Communication APIs, Campaign Management, Customer Engagement Solutions, Chatbots, Automation, and enterprise messaging integrations.

3. Eligibility

Users must be at least 18 years old, have authority to enter into binding agreements, provide accurate information, and comply with applicable laws.

4. Account Registration

You are responsible for maintaining accurate account information, protecting login credentials, and all activities conducted through your account.

5. Customer Responsibilities

Customers must use the platform lawfully, obtain required customer consents, comply with telecom and regulatory policies, maintain accurate recipient databases, and respect privacy laws.

6. Prohibited Activities

Users must not send spam, fraudulent messages, illegal content, malware, offensive material, or attempt unauthorized access to our systems. User should not interfere with the platform's operation, reverse engineer our services, or violate any applicable laws.

7. RCS, WhatsApp, SMS & Email Compliance

Customers are responsible for obtaining valid opt-in, maintaining consent records, and complying with telecom operator and platform policies. SetuNxt may suspend campaigns violating these requirements.

8. Fees and Payments

All applicable fees must be paid according to agreed payment terms. Taxes are additional unless specified. Delayed payments may result in service suspension.

9. Intellectual Property

All software, trademarks, APIs, logos, documentation, and related content are the intellectual property of Nextgen Setu Communication Private Limited or its licensors.

10. Data Privacy

Use of personal information is governed by our Privacy Policy. Customers remain responsible for lawful processing of data submitted through the platform.

11. Service Availability

We strive for reliable services but do not guarantee uninterrupted availability. Interruptions may occur due to maintenance, telecom operators, third-party providers, or force majeure events.

12. Third-Party Platforms

Some services rely on telecom operators and third-party messaging platforms. We are not responsible for their outages, restrictions, or policy changes.

13. Limitation of Liability

To the fullest extent permitted by law, our liability is limited to the amount paid for the affected service during the preceding three months. We are not liable for indirect or consequential damages.

14. Indemnification

Customers agree to indemnify Nextgen Setu Communication Private Limited against claims arising from misuse of the platform, legal violations, or infringement of third-party rights.

15. Suspension and Termination

We may suspend or terminate services for non-payment, policy violations, fraud, regulatory issues, or activities exposing us to legal or operational risk.

16. Confidentiality

Both parties agree to protect confidential information unless disclosure is required by law or agreed in writing.

17. Force Majeure

Neither party shall be liable for delays caused by circumstances beyond reasonable control, including natural disasters, cyber incidents, pandemics, strikes, or telecom failures.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Delhi, India.

19. Changes to These Terms

We may update these Terms at any time. Continued use of the services after publication constitutes acceptance of the updated Terms.
